PLEASE READ THE FOLLOWING TERM CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND POLICIES.

These Terms of Use and our Privacy Policy (collectively, the “ Terms ”) apply to the Chef Fei website, (collectively, the “Services”) owned and operated by Chef Fei US Inc., a California corporation, and our affiliates and subsidiaries (“ Chef Fei ”, “ we ,” “ us ,” and “ our ”).  

By accessing or using the Services, you agree to all of the Terms of Use set forth below. You agree that you have read and understand the terms and that you consent, on your own behalf and on behalf of any company or any legal entity that you represent or on whose behalf you access the Services, to be bound by these Terms of Use. If you do not wish to agree to the Terms of Use set forth, please refrain from using the Services.

Agreement For Use

You warrant that you are at least 18 years of age and possess the legal authority to enter into this Agreement and to use these Services in accordance with all terms herein. These Services are designed for your personal, non-commercial use only and may not be accessed or used for other purposes. It is a violation of these Terms to access or use these Services or their contents for any reason other than personal, non-commercial use and may violate applicable copyright, trademark, or other laws. You agree to be financially responsible for all of your use of these Services. If you are under 18, you may use the Services only with the involvement of a parent or legal guardian.

Intellectual Property

All content included in the Services, such as text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Chef Fei or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. Specifically, all trademarks, service marks, trade names, logos, and other branding used and displayed within the Services are the exclusive property of Chef Fei or its licensors. These may not be used in connection with any product or service that is not offered by Chef Fei, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Chef Fei. You may not modify, copy, reproduce, republish, upload, post, transmit, or distribute any content from the Services in any form or by any means without the prior written permission of Chef Fei. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use.

User Conduct

You agree not to:

· Use the Services for any unlawful purpose or in any way that could violate any applicable federal, state, local, or international law or regulation.

· Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Chef Fei or users of the Services or expose them to liability.  

· Use the Services in a manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.  

· Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.  

· Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.  

· Transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.  

· Impersonate or attempt to impersonate Chef Fei, a Chef Fei employee, another user, or any other person or entity.  

User-Generated Content

If you post, upload, input, provide, or submit your personal information or other content to the Services (collectively, “ User-Generated Content ”), you grant Chef Fei a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User-Generated Content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the User-Generated Content that you post and that the use of your User-Generated Content by Chef Fei will not infringe upon or violate the rights of any third party.  

Links to Third-Party Websites or Services

The Services may contain links to third-party websites or services that are not owned or controlled by Chef Fei. Chef Fei has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Chef Fei shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

Digital Millennium Copyright Act (DMCA) Policy

Chef Fei respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998, Title 17 of the United States Code, Chef Fei will respond expeditiously to claims of copyright infringement committed using the Services that are reported to Chef Fei’s Designated Copyright Agent, identified below.

If you are a copyright owner, or are authorized to act on behalf of one, and you believe in good faith that copyrighted materials have been copied in a way that constitutes copyright infringement, please provide a written notice containing the following information:

  1. A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest that is allegedly infringed;
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Chef Fei to locate the material;
  4. Information reasonably sufficient to permit Chef Fei to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
  5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of the copyright interest that is allegedly infringed.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEF FEI OR ANY OF ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF CHEF FEI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES WILL THE TOTAL AGGREGATE LIABILITY OF CHEF FEI AND EACH OF ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES EXCEED THE AMOUNT YOU PAID, IF ANY, TO CHEF FEIFOR ACCESSING OR USING THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CHEF FEI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CHEF FEI MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

Indemnification

You agree to indemnify, defend, and hold harmless Chef Fei and each of its respective officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User-Generated Content, any use of the Services’ content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in San Diego County, California before one arbitrator. The arbitration shall be administered by the American Arbitration Association (“ AAA ”) in accordance with its Consumer Arbitration Rules. The language to be used in the arbitral proceedings shall be English. Except as may be required by law, neither a party nor the arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of all parties. The arbitrator shall have the authority to grant any remedies available in a court of law or in equity. The decision of the arbitrator shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

Waiver of Class Action

YOU AND CHEF FEI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Chef Fei otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Termination

Chef Fei reserves the right, in its sole discretion, to terminate or suspend your access to all or part of the Services, with or without notice, for any reason, including, without limitation, breach of these Terms. Upon termination, your right to use the Services will immediately cease.

Modifications to the Terms

Chef Fei reserves the right to modify or revise these Terms at any time without notice. Your continued use of and access to the Services or any part thereof after any changes become effective will be considered your acceptance of those changes and will constitute your agreement to be bound thereby. If you do not agree with the modified Terms, please refrain from using the Services.

We may translate these Terms of Use and our Privacy Policy into other languages for your convenience. However, the English version governs your relationship with us, and any inconsistencies among the different versions will be resolved in favor of the English version available here.
